PURPOSE & SCOPE
- This Code of Ethics Policy establishes the fundamental principles and standards of conduct that all employees, officers, and directors of the Organization are expected to uphold in the performance of their professional duties.
- This policy applies to all individuals who represent the Organization, regardless of position, tenure, or employment type, and covers conduct both within and outside the workplace where it may affect the Organization's interests or reputation.
- The Organization shall designate a Chief Ethics Officer or equivalent role responsible for the administration, interpretation, and enforcement of this Code of Ethics across all business units and locations.

CORE ETHICAL PRINCIPLES
- All personnel shall conduct themselves with honesty, integrity, and fairness in every business transaction, communication, and professional interaction, avoiding any action that could undermine trust or bring the Organization into disrepute.
- Personnel shall respect the dignity, rights, and diversity of all individuals and shall not engage in discrimination, harassment, or any form of conduct that creates a hostile, intimidating, or offensive environment.
- Personnel shall protect the Organization's confidential information, intellectual property, and proprietary data, and shall not use such information for personal gain or disclose it to unauthorised parties.
- Personnel shall comply with all applicable laws, regulations, and industry standards in every jurisdiction where the Organization operates, and shall promptly report any known or suspected legal violations to the appropriate authority.

CONFLICTS OF INTEREST & BUSINESS CONDUCT
- Personnel shall avoid any situation in which their personal interests conflict, or could reasonably appear to conflict, with the interests of the Organization. All actual or potential conflicts of interest must be disclosed promptly in writing.
- The Organization strictly prohibits bribery, corruption, and the offering or acceptance of gifts, entertainment, or other inducements that could improperly influence business decisions or create the appearance of impropriety.
- Personnel shall use the Organization's assets, resources, and information systems responsibly and exclusively for legitimate business purposes, and shall safeguard them against misuse, waste, theft, and unauthorised access.

REPORTING & WHISTLEBLOWER PROTECTION
- The Organization shall maintain confidential reporting channels through which personnel can report suspected ethical violations, misconduct, or illegal activity without fear of retaliation.
- The Organization strictly prohibits any form of retaliation against individuals who report concerns in good faith. Retaliatory conduct shall be treated as a separate and serious violation of this code.
- All investigations shall be conducted by qualified personnel in a fair, timely, and confidential manner, with findings documented and reported to the appropriate governance body.

ENFORCEMENT & POLICY REVIEW
- Violations of this Code of Ethics shall result in disciplinary action proportionate to the nature and severity of the breach, up to and including termination of employment or contract and referral to law enforcement where appropriate.
- All personnel shall complete mandatory ethics training upon joining the Organization and on an annual basis thereafter. Training completion rates shall be tracked and reported to the Board.
- This Code of Ethics shall be reviewed at least annually by the Chief Ethics Officer in consultation with Legal Counsel and the Board of Directors, with amendments communicated to all personnel before the effective date.
